The Senior Associate contributes to the success of the department by providing advice on best practices and governance frameworks suitable to clients’ needs, and work towards same in an ethical manner, in line with best practices of a professional practice organisation.
Key Responsibilities:
- Provide the corporate secretarial services required by publicly listed companies, which include, but are not limited to statutory submissions to the Trinidad and Tobago Securities and Exchange Commission, Trinidad and Tobago Stock Exchange and Companies Registry, in accordance to the legislation of each of those Regulators
- Attend Board of Directors and Annual Meetings and prepare the Minutes thereof
- Provide supervision and oversight to junior staff in the administration of their duties
- Provide technical advice on corporate secretarial practice and governance matters
- Conduct research with respect to the Companies Act, the Securities Act, the Stock Exchange Rules and any other legislation deemed necessary
- Liaise with the officers of the Trinidad and Tobago Securities and Exchange Commission, Trinidad and Tobago Stock Exchange, Companies Registry and any others which are deemed necessary
- Plan and successfully execute projects in a timely fashion
- Prepare logical structured responses to all requests and queries from clients
Qualifications and Experience:
- Completed Stage 1 of the ICSA qualification or Year 1 of the LLB Degree
- A minimum of 3 years’ experience in all areas of corporate secretarial compliance
- Knowledge of standard governance practices
- Good understanding of board practices and board room etiquette
- Familiarity and understanding of the Companies Act, 1995, the Securities Act, 2012, the Stock Exchange Rules
